1) Eligibility

To qualify for a wholesale account with Online Sofa World (“we”, “us”):

  • You must operate a registered retail business (brick-and-mortar and/or online).
  • Purchases for personal use are not permitted.
  • Reselling on third-party marketplaces (e.g., Amazon, eBay, Etsy, OnBuy) is prohibited unless prior written approval is granted.
  • We reserve the right to approve, deny, suspend, or cancel any wholesale application or order at our discretion.

Application requirements (minimum):

  • Company name, registered number, VAT number (if applicable)
  • Trading and billing addresses
  • Website URL(s) and sales channels
  • Contact person and role
  • Estimated first order value / annual purchase volume

2) Pricing & Discounts

  • All prices are listed in GBP (£).
  • Wholesale pricing is available only to approved accounts purchasing for resale.
  • Promotional or bulk purchases outside approved terms may be refused or re-priced.
  • Additional discounts beyond standard wholesale rates are only available during agreed promotions or under written contract.
  • Orders placed using unauthorised discount codes may be cancelled.
  • MAP/RRP: Retailers must not advertise products below our Minimum Advertised Price (MAP) or Recommended Retail Price (RRP) without written consent.

3) Payment Terms

  • All orders must be paid in full before shipment (pro-forma basis).
  • We accept major credit/debit cards (Visa, Mastercard, American Express) and may offer PayPal, Apple Pay, Google Pay, or Klarna (subject to availability).
  • Bank transfer payments are available on request.
  • Title to goods passes upon full payment. Risk transfers upon delivery.

4) Order Processing & Fulfilment

  • Processing time: typically 1–2 business days after payment confirmation.
  • All orders are shipped from our UK fulfilment centre in Birmingham.
  • Wholesale shipping costs are quoted at cost unless otherwise agreed in writing.
  • Import duties, taxes, and brokerage fees for non-UK orders are the retailer’s responsibility.

5) Shipping, Risk & Loss

  • All orders are shipped via tracked delivery; tracking details are provided upon dispatch.
  • Risk of loss or damage transfers to you upon delivery to your nominated address or carrier.
  • You are responsible for providing accurate shipping details. Redelivery fees may apply for returned parcels due to incorrect information.

6) Returns, Damages & Shortages

  • Inspect all deliveries immediately upon receipt.
  • Report any damages, shortages, or discrepancies within 5 days of delivery to contact@onlinesofaworld.co.uk with clear photos or videos.
  • All items are quality-checked before shipment. Verified defective items will be repaired, replaced, or credited at our discretion.
  • Change-of-mind returns are not accepted on wholesale orders unless agreed in writing (a restocking fee may apply).
  • All returns must be authorised (RMA number required) before returning goods.

7) Warranty

Wholesale purchases include our standard 12-month warranty covering manufacturing defects in materials and workmanship under normal use.

This warranty excludes: misuse, improper assembly, neglect, weather damage (unless protected with covers), wear and tear, and unauthorised modifications.

8) Intellectual Property & Brand Use

  • You may use our official product images, descriptions, and brand assets only to market and sell genuine Online Sofa World products purchased directly from us.
  • You must not register or bid on our trademarks, brand names, or similar domains/social handles.
  • We reserve the right to revoke asset usage permissions at any time.

9) Channel Restrictions

  • Sales on third-party marketplaces (Amazon, eBay, Etsy, etc.) are prohibited unless authorised in writing.
  • Approved resellers must adhere to our MAP/RRP guidelines and maintain accurate, brand-consistent product listings.

10) Cancellations & Order Changes

  • We reserve the right to cancel or amend orders at our discretion (e.g., pricing errors, suspected fraud, stock issues, or credit concerns).
  • You may request cancellation before dispatch; once dispatched, standard wholesale return terms apply.

11) Confidentiality

All wholesale pricing, terms, marketing materials, and operational data shared with you are confidential.

You may not disclose this information to any third party without our written permission.

12) Governing Law & Jurisdiction

These Wholesale Policies are governed by the laws of England & Wales.

The courts of England & Wales have exclusive jurisdiction over any disputes.
